This page is a legal document and constitutes the Terms & Conditions ("Terms") for our website, www.dermhilda.com (the "Website"), owned and operated by Wire Briar LLC, a Utah limited liability company located in Mapleton, Utah ("Wire Briar," "we," "us," or "our").
By accessing or using our Website, you agree to be bound by these Terms each time you use the Website. If you do not agree to these Terms, please do not access or use the Website.
These Terms govern your use of the Website only — that is, the publicly available marketing and informational pages at dermhilda.com, including any contact forms, demo request forms, pricing tools, newsletter signups, and downloadable resources made available there.
These Terms do not govern access to or use of the Dermhilda application or platform (including app.dermhilda.com). Access to and use of the Dermhilda application is governed exclusively by the written agreements entered into between Wire Briar and its customers, including any Master Services Agreement, Service Order, and Business Associate Agreement (collectively, "Customer Agreements"). In the event of any conflict between these Terms and a Customer Agreement, the Customer Agreement controls with respect to the Dermhilda application and the services provided under it.
We may amend these Terms at any time by posting the amended Terms on this page and updating the "Last Updated" date above. Your continued use of the Website after amended Terms are posted constitutes your acceptance of the amended Terms. We encourage you to review this page periodically.
Wire Briar grants you a nonexclusive, nontransferable, revocable license to access and use the Website strictly in accordance with these Terms, solely for your internal informational purposes, including evaluating Wire Briar's products and services.
The Content on this Website is provided for general informational purposes only. Nothing on this Website constitutes, or is intended to constitute, medical advice, legal advice, regulatory or compliance advice (including with respect to HIPAA or any other healthcare law or regulation), financial advice, or professional advice of any kind. No professional relationship of any kind is created between you and Wire Briar by your use of this Website.

Your use of this Website does not create a business associate relationship between you (or your organization) and Wire Briar, and no Business Associate Agreement applies to information submitted through this Website. Business associate relationships with Wire Briar are established only through a written Business Associate Agreement executed in connection with a Customer Agreement.
If you submit PHI through the Website in violation of this Section, you do so at your own risk, and Wire Briar may delete such information without notice.
The Website is intended for use by individuals who are at least 18 years of age. By using the Website, you represent and warrant that you are at least 18 years old and capable of entering into binding contracts.

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND WIRE BRIAR, AND THE WEBSITE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. FOR CLARITY, THIS SECTION APPLIES ONLY TO USE OF THE WEBSITE; LIABILITY RELATING TO THE DERMHILDA APPLICATION IS GOVERNED BY THE APPLICABLE CUSTOMER AGREEMENTS.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Wire Briar and its members, managers, officers, employees, agents, successors, assigns, and affiliates from any liability, loss, claim, or expense, including reasonable attorneys' fees, arising out of or related to your violation of these Terms or your use or misuse of the Website.
We reserve the right to restrict or terminate your access to the Website, without notice, for any violation of these Terms or for any other reason in our sole discretion. The provisions of these Terms that by their nature should survive termination — including Sections 5, 6, 9, 10, and 15 through 20 — will survive any termination of your access to the Website.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Website shall be brought exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction and venue of such courts.
Any cause of action by you with respect to the Website or these Terms must be instituted within one (1) year after the cause of action arose or be forever waived and barred.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wire Briar regarding your use of the Website, and supersede any prior agreements regarding the Website. These Terms do not modify, amend, or supersede any Customer Agreement. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Wire Briar. If any provision of these Terms is held invalid or unenforceable, that provision shall be construed consistent with applicable law, and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it.
